Client Agreement

1. Scope

This YeePro Client Agreement ("Client Agreement") governs all terms that apply to Clients using YeePro. It replaces every previous version of this agreement and any reference to separate general terms and conditions. This document is the complete and only agreement between Yee and the Client.

2. Definitions

  • Platform β€” all Yee software, applications, APIs, websites and related services.
  • YeePro β€” the application Clients use to commission Content.
  • YeeGo β€” the application Creators use to capture and deliver Content.
  • Client β€” any individual, business, media organisation, legal entity or professional using YeePro to place Orders.
  • Creator β€” a user of YeeGo who fulfils Orders.
  • Content β€” any photo, video or other media captured and delivered through YeeGo.
  • Verified Content β€” Content carrying a cryptographic authenticity certificate issued by the Platform at the moment of capture.
  • Order β€” a request for Content placed by a Client and fulfilled by a Creator.
  • Marketplace β€” the part of the Platform where Clients buy Content a Creator captured on their own.
  • Commission β€” the fee Yee keeps from each completed transaction.
  • Stripe β€” the third-party payment processor the Platform uses.
  • Private delivery network β€” Yee's design as a closed, private channel for delivering Content, with no way to publish it.

3. Private delivery β€” Yee does not publish

YeePro is a private commissioning and delivery tool. Yee does not publish, broadcast, share or make available to any third party the Content a Client commissions. All Content is delivered only to the commissioning Client, through a private channel.

  • Yee has no way to publish your Content publicly. This is part of how the Platform is built.
  • Every decision about publishing, distributing or otherwise using the Content is the Client's.
  • The Client alone is responsible for following the law when using the Content after delivery.
  • Yee acts as a private courier, not as a media platform.

Because Yee does not allow Content to be published, Yee does not act as an online platform within the meaning of the European Union Digital Services Act in respect of that Content.

4. Eligibility and registration

4.1 Age

You must be at least 16 years old to register as a Client. If you are under 18, you may use YeePro only with the agreement of a parent or guardian, and only where the law of your country allows it.

4.2 Accurate information

You must give accurate, current and complete registration information. Yee may limit or close an account where the information is found to be false or misleading.

4.3 Account security

You are responsible for everything done under your account. Keep your sign-in details safe and tell us at once if you think someone else is using your account.

5. Placing Orders

5.1 How an Order is placed

You describe what Content you need, where it must be captured, and by when. You set the price. Creators near the place can see the Order and accept it. A limited number of Creators (currently 6) can work on one Order at the same time. You are responsible for describing the Order clearly enough for a Creator to fulfil it, and for making sure that what you ask for is legal and does not require anyone to enter a place they are not allowed to enter.

5.2 A saved payment card is needed first

Before your first Order you must save a payment card in the app. Saving a card takes no money and charges nothing. The card is required so that a Creator who travels to the place knows a real payment method stands behind the Order. If the card you saved has expired, the app asks you for another one before you can post a new Order. You can change or remove the card at any time; while there is no usable card you cannot post Orders.

5.3 Your rating is shown to Creators

After an Order, the Creator can rate you and leave a short comment. Your average rating, the number of ratings and those comments are shown to Creators who see your Orders, and on your profile inside the Platform. You see a Creator's rating in the same way. Ratings are visible only inside the Platform, never on the public internet.

6. Verified Content and authenticity

6.1 What verification means

Content delivered through the Platform carries a cryptographic authenticity certificate confirming that the Content was:

  • captured in real time inside YeeGo;
  • not uploaded from external storage;
  • not filtered, edited or post-processed;
  • not generated or manipulated by artificial intelligence;
  • recorded together with GPS coordinates, a timestamp and a device identifier.

6.2 Limits of the authenticity guarantee

Yee applies commercially reasonable technical safeguards but does not represent that they are impossible to get around. The authenticity certificate is strong evidence of what the Platform verified; it is not a guarantee against every possible attack.

6.3 Use in legal or regulatory proceedings

Clients must not rely on the Yee authenticity certificate alone as final proof in court, regulatory, insurance or administrative proceedings, without independent checking. Yee is not responsible for decisions taken on the basis of an authenticity certificate.

6.4 Automated checks

Every file a Creator submits is checked automatically before you can see it. The checks look for content that is not allowed and for a photograph or recording of another screen. A file can be held for review or refused, which means it never reaches you.

7. Intellectual property β€” full transfer to the Client

When you pay for Content, all economic intellectual property rights in that Content transfer automatically and irrevocably to you, worldwide and without a time limit. The Creator keeps the moral rights that cannot be transferred under Lithuanian law.

This transfer covers the rights the Creator holds. It does not give you the rights of other people who may appear in the Content, and it does not remove your own duty to follow privacy, data protection and image rights law when you use the Content.

8. Payment

8.1 What you pay and when

Posting an Order is free. There is no posting fee. You pay only if you choose to buy Content that has been delivered to you, and the price is the one you set on the Order. Before your first Order you save a payment card (section 5.2), and saving it takes no money. The app shows the lowest price an Order may carry. Yee keeps its Commission β€” currently 15% of the price β€” and pays the rest to the Creator. Yee may change the Commission, with at least 30 days' notice in the app and by email.

8.2 An Order you do not buy

An Order you do not buy simply ends. No money is charged at all, and there is no cancellation fee.

8.3 Problems with an Order

Because payment is due only when you buy, you decide whether delivered Content is worth paying for. If something goes wrong β€” a Creator does not deliver, a file cannot be opened, a payment is taken twice β€” contact support at support@goyee.app.

8.4 How long you can download

Content you have bought can be downloaded for the period shown in the app. After that the file is removed from Yee's servers, together with its preview. Download and keep your own copy in good time.

9. Client warranties

You warrant that: you will not order Content that would require a Creator to break the law or to enter a place without permission; you will not order Content that is prohibited under section 11; and you will follow the law when you use the Content you receive, including privacy, data protection and image rights law.

10. Content Marketplace

As well as placing Orders, you may browse and buy Content that Creators have already captured and listed on the Marketplace. Here the Creator starts, and you choose afterwards.

How it works:

  1. A Creator captured the Content on their own and listed it.
  2. You browse the Marketplace and see a low-resolution painted preview.
  3. You buy, and receive the full file.
  4. The Content leaves the Marketplace β€” it is sold once only.

The Marketplace is open only to registered YeePro Clients. Content on it is not public on the internet.

10.1 Preview and purchase

Marketplace Content is shown as a low-resolution, painted preview. The full file is delivered only after payment. In the Android app you see the listing and its preview; the purchase itself is made in the browser, at the web address the app shows. Yee does not guarantee that any Content is suitable for your editorial purpose.

10.2 One sale β€” exclusive delivery

Each piece of Marketplace Content can be bought by one Client only. After purchase the full Content is delivered to you and permanently removed from the Marketplace.

10.3 Pricing

Marketplace prices are set by the Creator, who types the price you pay. You pay exactly the price shown at the moment of purchase, with no hidden additions. The same 15% Commission described in section 8.1 is taken out of that price, so the Creator receives the price less the Commission.

10.4 No refunds on Marketplace purchases

Because the Content is digital and is sold once, a Marketplace purchase is final and non-refundable once the full Content has been delivered to you, except in the cases listed in section 10.5.

10.5 When money is returned

This section applies to every purchase on the Platform: Order Content and Marketplace Content alike.

Before you pay, you tick a box saying that delivery starts at once and that you therefore give up the 14-day right of withdrawal. That agreement is recorded together with the payment.

Money is returned in these cases, and only these:

  • a paid file does not open;
  • a paid file is damaged, so it cannot be used at all;
  • you were charged twice for the same purchase;
  • the file was never delivered to you.

These are not grounds for a refund: composition, framing, light, weather, angle, choice of subject, or the Content not being what you expected. You see a preview of every file before you pay, and you choose which set to buy.

Write to us first. A refund asked for through your bank instead of through us costs the Platform a fee and does not reach you any faster.

10.6 Intellectual property

The transfer rules in section 7 apply to Marketplace purchases in the same way.

10.7 How long a listing lasts

Marketplace Content stays listed for the period shown in the app (currently 6 days) and is then removed automatically. There is no extension, and Yee does not guarantee that any particular Content stays available.

11. Prohibited conduct and prohibited content

You must not:

  • Order content showing sexual activity or nudity intended to arouse (pornography).
  • Order any content that sexualises a child. This is the most serious rule on the Platform.
  • Order content that is violent, hateful, or illegal under the law of Lithuania or of the European Union.
  • Order content that would require a Creator to enter private property without permission or to break any other law.
  • Use the Platform to follow, watch or harass a particular person.
  • Try to work around the Platform's technical checks, or use the Platform through automated tools.

Breaking this section closes the account. Where content sexualising a child is ordered or received, the account is closed, the material is preserved, and the matter is reported to the authorities.

12. Data protection, evidence and the authorities

Yee processes personal data as described in the Privacy Policy, which is part of this agreement.

Where Yee has reason to believe that content or conduct breaks the law, Yee may keep a copy of the content, of the account data and of the technical records connected with it for as long as the law requires, even after the account is closed. Yee gives this material to the police or to another authority when the law requires it or in answer to a lawful request. Where the law requires a report to be made, Yee makes it without telling the account holder first.

13. Changes to these terms

Yee may update these terms. A new version is announced in the app and by email.

When a new version takes effect, the app asks you to accept it. You can read it, accept it, or decline it.

  • If you accept, the new version applies from that moment.
  • If you do not answer within 7 days of being asked, you are treated as having accepted the new version.
  • If you decline, you keep your account, but you cannot create Orders and you cannot buy Marketplace Content until you accept the current version. Everything else β€” viewing, messages, downloading files you have already bought, and closing your account β€” keeps working.

If you do not want to accept a new version, you may close your account at any time. Questions: support@goyee.app.

14. Limitation of liability

Yee is not liable for:

  • your inability to use Content because of the rights of other people, which are not transferred under section 7;
  • loss arising from relying on an authenticity certificate in legal proceedings;
  • a Creator failing to fulfil an Order;
  • the editorial suitability or the technical quality of delivered Content beyond the standards in section 6.

To the fullest extent the law allows, Yee's total liability shall not exceed the greater of EUR 100 or the total fees paid by that Client in the three months before the claim.

Nothing here limits liability for death or personal injury caused by Yee's negligence, or any liability that cannot be excluded under mandatory European Union or Lithuanian law.

15. Indemnification

You agree to cover Yee's loss, including reasonable legal costs, where it arises from your use of Content after delivery, from your breach of this agreement, or from your breach of the rights of another person.

16. Yee Platform intellectual property

The Platform, its software, its design and its trade marks belong to Yee. This agreement gives you a limited, personal, non-transferable right to use YeePro, and nothing more.

17. Enterprise clients

A business client may agree separate written terms with Yee β€” for example about invoicing, volume, or a longer download period. Where such written terms exist, they take precedence over this agreement to the extent that they differ. Ask at support@goyee.app.

18. Account limits, suspension and closure

There are three separate states:

  • Limited. You declined a new version of these terms (section 13). You cannot create Orders or buy Marketplace Content. Accepting the current version removes the limit at once.
  • Suspended. Yee is examining a possible breach. New Orders and purchases are paused while the case is open. You are told that the account is suspended.
  • Closed. Either you asked for it, or a breach of section 11 was confirmed. Content you have already bought stays yours; the files stay available for download for the period in section 8.4.

You may close your account at any time.

19. Governing law and disputes

This agreement is governed by the law of the Republic of Lithuania. Disputes are heard by the courts of the Republic of Lithuania. Consumer users in the European Union keep all their rights under mandatory consumer protection law, and may refer a dispute to the Lithuanian State Consumer Rights Protection Authority or to the European Union online dispute resolution platform at ec.europa.eu/consumers/odr.

20. General

If any part of this agreement is found unenforceable, the rest stays in force. Yee not enforcing a right on one occasion does not waive it. You may not transfer this agreement to anyone else; Yee may transfer it as part of a transfer of the business. This document, together with the Privacy Policy, is the whole agreement between you and Yee.

What changed in versions 3.3 and 3.4

  • The posting fee is gone. Posting an Order costs nothing. Sections 8.1 and 8.2 were rewritten: you pay only when you buy delivered Content.
  • Section 5.2 (saved payment card) is new: a usable payment card must be saved before your first Order. An expired card is not enough.
  • Section 5.3 (your rating) is new: Creators see your average rating, the number of ratings, and the comments Creators left about you.
  • Section 10.3 (Marketplace pricing) now says what the app shows: the Creator types the price you pay, and the Commission is taken out of that price.
  • Section 5.1 now says that a limited number of Creators (currently 6) can work on one Order at the same time.
  • Section 10.1 now says that a Marketplace purchase from the Android app is made in the browser, at the web address the app shows.

What changed in versions 3.1 and 3.2

  • Section 10.5 (when money is returned) is new: a closed list of the cases where money comes back, and a plain statement that taste is not one of them.
  • Every payment page now asks you to agree that delivery starts at once, which is why the 14-day right of withdrawal does not apply.
  • Section 4.1 (age) is now 16, not 18. A Client makes a card payment and does not hold a payout account, so the Stripe limit of 18 does not apply.
  • Section 8.1 (payment) now describes what the Platform really does: a non-refundable posting fee when the Order is posted, and the Order price only if you buy delivered Content. The old text said the full price was paid at submission.
  • Section 8.2 replaces the old cancellation rules. There is no cancellation fee, and there never was one in the Platform.
  • Section 8.3 replaces the old 24-hour dispute window, which the Platform never had.
  • Section 8.4 is new: how long a bought file can be downloaded, and that the preview goes with it.
  • Section 6.4 (automated checks) is new: every file is checked before it reaches you.
  • Section 10.1 now says painted low-resolution preview, which is what the Platform shows, instead of "partially blurred".
  • Section 10.7 (listing time) now matches the Platform: the period shown in the app, currently 6 days, with no extension. The old text said up to 14 days.
  • Section 11 now names prohibited content directly, including pornography and any content sexualising a child.
  • Section 12 is new: keeping evidence and giving it to the authorities when the law requires it.
  • Section 13 (changes) now describes what the app actually does: accept, decline, or no answer within 7 days.
  • Section 18 is new: the three account states β€” limited, suspended, closed.
